[...] 2. Corporation. A corporation is formed in New York by filing a Certificate of Incorporation with the NYS Department of State. There are two types of corporations for tax purposes: C corporations and S corporations. I highly suggest speaking to your accounting before making the determination on whether you want to be taxed under Subchapter C or Subchapter S of the Internal Revenue Code (“IRC”). Individual shareholders will not be held personally liable for the debt of the corporation unless the “corporate shield” can be pierced. (More on that issue in another post). In order to retain this shield from personal liability, corporations must adhere to corporate formalities (e.g., minutes of shareholder and Board of Director meetings).
You may need to get the approval of both the Attorney General and a court in order to refinance your mortgage. Certain religious corporations are exempt from needing the Attorney General's approval. Certain religious corporations need approval from the governing church prior to obtaining a mortgage. You may also need approval from New York's Supreme Court prior to obtaining or refinancing your mortgage.

There is a bill pending before the state legislature and senate to change the publishing requirement. The publishing requirement in New York County costs over $700!!! but the proposed bill has it costing only $50. Why should the New York Law Journal (a print publication) profit from this? The url below is a petition to change the publishing requirements: You can lend your support by going to it and signing it

In addtion, why not just put the published llc notices on a web site and allow the state to bid out the maintenance and running of the web site? You don't need a newspaper to do that.

I am in the process of forming an LLC and am interested in working with a publishing company to complete this ridiculous requirement. Can you recommend a publishing company in Nassau County?
